Liviu Automation
DRAFT: needs review by a lawyer before use.
Agreement version: 1.1 Effective Date: September 22, 2026
IMPORTANT — PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING LIVIU AUTOMATION.
LIVIU AUTOMATION IS AN UNOFFICIAL COMPATIBILITY SOFTWARE PRODUCT. IT IS NOT CREATED, ENDORSED, CERTIFIED, WARRANTED, OR SUPPORTED BY AUTODESK, APPLE, MICROSOFT, CODEWEAVERS, THE WINE PROJECT, OR ANY OTHER THIRD-PARTY SOFTWARE PROVIDER UNLESS EXPRESSLY STATED OTHERWISE.
INSTALLING OR USING COMPATIBILITY SOFTWARE CAN CAUSE CRASHES, PERFORMANCE PROBLEMS, DATA LOSS, MODEL CORRUPTION, SOFTWARE OR OPERATING-SYSTEM INSTABILITY, LICENSING OR SIGN-IN PROBLEMS, LOSS OF UNSAVED WORK, AND OTHER UNEXPECTED RESULTS.
BY CLICKING “I AGREE,” YOU ACKNOWLEDGE THESE RISKS, VOLUNTARILY ACCEPT AND ASSUME THEM, AND AGREE TO THE WARRANTY DISCLAIMERS, ASSUMPTION-OF-RISK PROVISIONS, AND LIMITATIONS OF LIABILITY BELOW.
DO NOT USE THE SOFTWARE UNLESS YOU ACCEPT THESE TERMS. ALWAYS MAINTAIN INDEPENDENT BACKUPS OF IMPORTANT FILES AND VERIFY IMPORTANT PROFESSIONAL WORK BEFORE RELYING ON IT.
Short Version
This summary is provided for convenience only. The numbered provisions below are the legally controlling agreement.
- Liviu Automation allows you to attempt to install and run your own properly licensed copy of Autodesk Revit on compatible Apple-silicon Mac computers through third-party compatibility technologies.
- Liviu Automation does not include Autodesk Revit and does not provide an Autodesk license.
- You must obtain Revit lawfully from Autodesk and possess the rights necessary to use it.
- The Software is unofficial and is not supported or endorsed by Autodesk.
- The 14-day Full Mode trial does not require a credit card and does not automatically convert into a paid subscription.
- After the trial, you may purchase a subscription currently offered at US$4.99 per month. A paid monthly subscription automatically renews until cancelled.
- You can cancel at any time. If you cancel within seven calendar days after a subscription charge, that charge is eligible for a full refund under the policy below.
- You are responsible for backing up your work and verifying the integrity and correctness of your files and professional deliverables.
- If you use the Software for coursework or other educational work, you remain responsible for backups and academic deadlines, and your educational Autodesk license is governed entirely by Autodesk's own terms.
- You use the Software at your own risk.
- To the maximum extent permitted by law, Liviu Automation is provided without warranties and our liability is severely limited.
Each subscription permits one active Mac at a time. Deactivate the licence on the current Mac before activating it on a replacement Mac.
1. Parties and Acceptance
1.1 Parties
This End User License Agreement (“Agreement”) is between you and:
Liviu Trifoi, an individual, operating under the name Liviu Automation (“Liviu Automation,” “Licensor,” “we,” “our,” or “us”).
If no separate legal entity has been formed before launch, the contracting party must accurately identify the individual or entity legally providing the Software.
This Agreement covers Liviu Automation and its documentation, installers, launchers, compatibility components, proprietary code, updates, and related software supplied by us, collectively the “Software.”
1.2 You
“You” means the individual accepting this Agreement.
If you accept this Agreement on behalf of a company, employer, organization, educational institution, or other legal entity, you represent that you have authority to bind that entity. In that situation, “you” includes that entity.
1.3 Age and Authority
You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering into this Agreement.
A person under 18 (or under the age of majority where they live) may use the Software only if a parent or legal guardian has read and accepted this Agreement on their behalf and takes responsibility for their use.
1.4 Affirmative Acceptance
You accept this Agreement by affirmatively selecting the checkbox or other acceptance control presented with this Agreement and clicking I Agree, Accept, or an equivalent button.
You may not complete the applicable installation, activation, or Full Mode access process unless you accept this Agreement.
Use of the Software after valid acceptance is also subject to this Agreement.
If you do not agree, do not install, activate, or use the Software and delete any copies in your possession.
2. What Liviu Automation Is
Liviu Automation is an unofficial compatibility product designed to help run a user's independently obtained copy of Autodesk Revit on certain Apple-silicon Mac computers using compatibility technologies that may include Wine, Apple's Rosetta 2, DXMT, Microsoft components, Autodesk components, and other third-party software.
Compatibility varies by hardware, macOS version, Revit version, configuration, third-party components, add-ins, drivers, and future software updates.
We do not guarantee compatibility with any particular combination.
3. What Liviu Automation Is Not
Liviu Automation:
- is not Autodesk Revit;
- does not include an Autodesk Revit license;
- does not sell or grant Autodesk licenses;
- does not bypass or replace Autodesk authentication or licensing;
- does not authorize piracy or unauthorized software use;
- is not created, certified, endorsed, sponsored, or supported by Autodesk;
- is not created, certified, endorsed, sponsored, or supported by Apple, Microsoft, CodeWeavers, the Wine project, or other third-party component providers unless expressly stated by them; and
- does not guarantee that Autodesk or any other third party considers this configuration supported or permitted under its own terms.
You must obtain Revit and any required licenses or subscriptions directly through authorized sources.
If you use Autodesk educational, trial, commercial, or other license types, you are responsible for complying with all restrictions applying to that license.
Whether your particular use complies with Autodesk's contractual terms is your responsibility.
4. Autodesk and Other Trademarks
“Autodesk,” “Revit,” and related marks belong to Autodesk, Inc. and/or its affiliates.
Apple, macOS, and Rosetta are marks of Apple Inc.
Microsoft and Windows are marks of Microsoft Corporation.
Other names and marks belong to their respective owners.
References to third-party products are used solely for identification, compatibility description, and interoperability purposes and do not imply endorsement.
5. License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable-as-provided-in-this-Agreement license to install and use the proprietary portions of the Software on Macs that you own or control for personal, educational, or lawful business purposes.
A subscription or license key may have a device limit.
The applicable device limit will be displayed in the Software, checkout process, purchase materials, or account information.
You may not share a paid license or activation credential outside the household, business, organization, or other authorized scope associated with that license.
We reserve all rights not expressly granted to you.
6. Free Functionality
Installation functionality and any designated free compatibility or performance testing functionality may be used without purchasing a subscription.
A free test may use functionality available through Revit's Viewer mode or other limited functionality.
Free functionality may be changed, replaced, discontinued, or limited in future versions.
We do not guarantee that any free functionality will remain available indefinitely.
7. Full Mode and Free Trial
“Full Mode” means functionality intended to permit normal use of a properly licensed copy of Autodesk Revit through the compatibility environment, including use involving your Autodesk sign-in.
7.1 Fourteen-Day Trial
Eligible users receive a 14-day Full Mode trial beginning when Full Mode is first successfully activated on the applicable device.
The trial does not require payment information.
THE TRIAL DOES NOT AUTOMATICALLY CONVERT INTO A PAID SUBSCRIPTION AND YOU WILL NOT BE CHARGED MERELY BECAUSE THE 14-DAY TRIAL EXPIRES.
After the trial ends, you must affirmatively purchase a subscription to continue using paid Full Mode functionality.
Trials are intended to permit genuine evaluation of the Software and ordinarily may be used only once per user or device.
We may refuse, block, or terminate repeated, manipulated, fraudulent, or abusive trial attempts.
8. Subscription and Automatic Renewal
After the trial, Full Mode requires an active paid subscription unless we expressly provide another license option.
The price shown immediately before purchase controls.
As of the date of this Agreement, the intended standard price is US$4.99 per month, plus applicable taxes where required.
A MONTHLY SUBSCRIPTION AUTOMATICALLY RENEWS EACH MONTH UNTIL YOU CANCEL IT.
Before charging you, the checkout process must clearly identify the subscription price, renewal frequency, and cancellation terms.
We may change future subscription prices.
We will not retroactively change the price of a billing period already paid.
Price changes for an existing subscription will take effect only after any notice, consent, or other process required by applicable law and the applicable payment provider.
9. Payment Provider and Merchant of Record
Payments may be processed through Stripe and/or a Stripe service.
Where checkout or your receipt identifies Sold through Link, LLC as the merchant of record through Stripe Managed Payments, Sold through Link, LLC serves as the merchant of record for the applicable transaction.
If checkout identifies another entity as the merchant of record or seller of record, that identified entity controls for the payment transaction.
The applicable payment provider or merchant of record may handle payment processing, payment credentials, tax calculation and collection, invoices, receipts, refunds, renewal processing, fraud prevention, and payment disputes under its own terms.
We ordinarily do not receive your complete payment-card or Apple Pay credentials.
Available payment methods depend on the payment provider, device, and jurisdiction.
Nothing in this Agreement overrides mandatory rights granted to you by the payment provider's terms or applicable law.
10. Cancellation
You may cancel a paid subscription at any time without a cancellation penalty.
You may cancel using any cancellation mechanism made available through:
- Manage Subscription inside the Software;
- the payment provider;
- the cancellation functionality available through our website; or
- by contacting liviutrifoidesigns@gmail.com if another cancellation method is unavailable.
Deleting or uninstalling the Software does not itself cancel a subscription.
Unless a refund applies, cancellation normally prevents the next renewal and your paid access may remain available through the end of the billing period already paid.
11. Seven-Day Refund Policy
If you request cancellation within seven calendar days after a subscription charge, including an initial subscription charge or renewal charge, you may request a full refund of that charge.
No reason is required.
A refund may be processed through the applicable merchant of record or payment provider.
When the applicable charge is refunded or reversed, Full Mode access associated with that payment may end immediately.
This contractual refund policy is in addition to any non-waivable refund, withdrawal, cancellation, or consumer rights provided by applicable law.
12. License Verification and Offline Grace Period
The Software may periodically verify that a subscription or license remains valid.
Verification may require communication with our licensing infrastructure, the merchant of record, or another licensing service.
If verification temporarily cannot occur because of a network or service outage, the Software may provide a limited offline grace period.
We may modify reasonable anti-fraud, activation, and license-verification mechanisms in later versions.
You may not circumvent, spoof, disable, tamper with, or interfere with those mechanisms.
13. Updates, Compatibility, Availability, and Support
We may release updates, fixes, compatibility changes, or new versions, but we are not required to release them on any particular schedule.
Changes by Autodesk, Apple, Microsoft, Wine, DXMT, CodeWeavers, hardware manufacturers, authentication providers, operating systems, drivers, or other third parties may partially or completely break the Software.
We do not control those third parties.
We do not promise that the Software will continue working with any future version of Revit, macOS, Rosetta, Wine, DXMT, Autodesk authentication services, or any other dependency.
We may stop supporting a particular:
- Mac model;
- chip generation;
- macOS version;
- Revit version;
- Wine version;
- graphics translation layer;
- third-party component; or
- Software release.
Support is provided on a best-effort basis only.
There is no guaranteed response time, resolution time, uptime commitment, service-level agreement, or guarantee that a reported problem can be fixed.
14. Your Files, Models, and Data
Your Revit models and other work remain yours.
The Software is intended to operate primarily on your Mac.
Liviu Automation does not acquire ownership of your models, drawings, designs, project files, or other content merely because you use the Software.
Licensing, activation, payment, update, security, or optional diagnostic functionality may transmit limited technical information as described in the applicable Privacy Policy.
Optional diagnostic or compatibility information may be transmitted only as described in the Software and Privacy Policy.
Autodesk, Microsoft, Apple, the merchant of record, and other third parties may separately process information under their own privacy practices.
We do not control those third parties.
YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING CURRENT, INDEPENDENT BACKUPS OF ALL IMPORTANT FILES BEFORE INSTALLING OR USING THE SOFTWARE.
15. Professional and Production Use
Liviu Automation may be used in connection with professional workflows, but it is compatibility software and is not an architectural, engineering, structural, mechanical, electrical, plumbing, fire-protection, code-compliance, life-safety, surveying, legal, or other professional service.
The Software does not review or certify the correctness of your Revit model, design, calculations, drawings, schedules, specifications, professional judgment, regulatory compliance, or construction documents.
If you use the Software for commercial or professional work, you remain solely responsible for your professional obligations, quality-control procedures, review processes, deliverables, backups, project deadlines, and compliance obligations.
YOU MUST NOT RELY ON LIVIU AUTOMATION AS THE SOLE METHOD OF VERIFYING A MODEL OR PROFESSIONAL DELIVERABLE BEFORE ISSUING, SUBMITTING, CONSTRUCTING FROM, OR OTHERWISE RELYING ON THAT WORK.
Where the consequences of an error could be material, you should independently verify important files and outputs using an appropriate supported environment or another independent verification process.
16. Students and Educational Use
If you use the Software for coursework, studio projects, examinations, academic submissions, or other educational work, you are solely responsible for maintaining independent backups and meeting all academic deadlines; Liviu Automation does not guarantee that Revit, any project file, or any required feature will remain available or operational when an assignment is due.
Educational Autodesk licenses (including student, education, and classroom licenses) remain subject entirely to Autodesk's own education terms. It is your responsibility to check whether your Autodesk educational license permits this use before installing or using the Software.
Liviu Automation does not guarantee compatibility with any particular course, curriculum, or institutional requirement, and does not guarantee grades, assignment completion, submission deadlines, or the recovery of coursework.
17. Prohibited Uses
You may not use the Software to:
- bypass, defeat, weaken, emulate, spoof, or circumvent Autodesk licensing or authentication;
- use pirated, cracked, stolen, unauthorized, or unlawfully modified copies of Autodesk software;
- circumvent the Liviu Automation trial, subscription, activation, or license-verification mechanisms;
- share, sell, publish, transfer, or traffic in unauthorized license keys;
- falsely cause an unlicensed copy of the Software to appear licensed;
- interfere with, attack, overload, probe, or compromise our licensing or payment infrastructure;
- distribute malware or malicious code;
- violate intellectual-property rights;
- use the Software in violation of applicable law; or
- use our trademarks or identity in a manner that falsely suggests sponsorship or endorsement.
You may not sell, rent, sublicense, redistribute, or commercially provide the proprietary portions of Liviu Automation to third parties as a standalone product or hosted service without written authorization.
This restriction does not limit rights granted to you by applicable open-source licenses.
18. Proprietary Software, Reverse Engineering, and Open Source
Except for third-party and open-source components, Liviu Automation and its proprietary code, user interface, artwork, documentation, branding, and related materials are owned by Licensor and protected by applicable intellectual-property law.
Except where applicable law expressly prohibits the restriction, you may not copy beyond reasonable installation or backup needs, modify, decompile, disassemble, reverse engineer, derive source code from, or create derivative works of proprietary Liviu Automation code.
18.1 Open-Source Rights Are Preserved
Nothing in this Agreement restricts rights that an applicable open-source license gives you.
Certain components, which may include Wine, DXMT, and other software, are distributed under GNU LGPL, GNU GPL, MIT, BSD, or other open-source licenses.
Those licenses—not this proprietary EULA—control your rights to those components.
Where an open-source license permits modification, reverse engineering, replacement, relinking, redistribution, source-code access, or other activity, this Agreement does not take those rights away.
Applicable notices, licenses, source information, and source-access instructions must be made available with the Software or through its Open Source / Third-Party Notices materials.
We are not required to support a configuration that you have modified.
19. Third-Party Software and Services
The Software relies on, interacts with, downloads, or may facilitate installation of components supplied by third parties.
Examples may include Wine, DXMT, Apple's Rosetta 2, Microsoft's runtimes or WebView technologies, Autodesk authentication components, and Autodesk software supplied by you.
Each third-party component remains subject to its own license and terms.
Where an applicable third-party license conflicts with this Agreement regarding that third-party component, the third-party license controls for that component.
We do not license Autodesk, Microsoft, Apple, Wine, DXMT, or other third-party software to you except to the extent we are legally authorized to distribute a particular component.
You are responsible for satisfying third-party licensing requirements applicable to your use.
20. NO WARRANTY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, DOCUMENTATION, SUPPORT, COMPATIBILITY FUNCTIONALITY, TRIAL FUNCTIONALITY, AND RELATED SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, COMPATIBILITY, AND QUIET ENJOYMENT TO THE MAXIMUM EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
Without limiting the foregoing, we do not warrant that:
- the Software will operate on your Mac;
- the Software will operate with a particular version of Revit;
- Revit will operate at Windows-equivalent performance;
- all Revit functionality will work;
- third-party add-ins will work;
- Autodesk authentication or cloud functionality will work;
- Autodesk will permit, support, or assist with the configuration;
- files will not become damaged or corrupted;
- unsaved work will not be lost;
- the Software will be uninterrupted or error-free;
- the Software will be free of security vulnerabilities;
- updates will fix a particular problem;
- third-party changes will not break functionality;
- compatibility will continue indefinitely; or
- the Software will meet the requirements of a particular professional project.
Some jurisdictions do not permit exclusion of certain implied warranties. Any warranty that cannot legally be disclaimed remains only to the minimum extent required by law.
21. EXPRESS ASSUMPTION OF RISK
YOU KNOWINGLY AND VOLUNTARILY CHOOSE TO INSTALL AND USE AN UNOFFICIAL SOFTWARE COMPATIBILITY ENVIRONMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ACCEPT AND ASSUME ALL RISKS ARISING FROM OR RELATING TO INSTALLATION, CONFIGURATION, TESTING, OPERATION, FAILURE, INTERRUPTION, INCOMPATIBILITY, OR USE OF THE SOFTWARE.
Those risks include, without limitation:
- loss of unsaved work;
- file or model corruption;
- loss of files;
- loss of settings;
- unexpected Revit behavior;
- inaccurate or incomplete output;
- crashes;
- freezes;
- reduced performance;
- graphics errors;
- add-in incompatibility;
- authentication failures;
- Autodesk licensing problems;
- third-party account problems;
- project delays;
- missed deadlines;
- business interruption;
- lost productivity;
- Mac instability;
- storage problems;
- operating-system problems;
- security vulnerabilities;
- incompatibility following an update;
- loss caused by third-party software;
- loss caused by an unsupported configuration; and
- professional or commercial consequences resulting from reliance on affected files or outputs.
You acknowledge that these risks may exist even when the Software appears to operate normally.
You are responsible for testing the Software before using it on important work.
You are responsible for maintaining backups.
You are responsible for deciding whether a particular project is suitable for use through an unofficial compatibility environment.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU ALSO EXPRESSLY ASSUME RISKS ARISING FROM ORDINARY NEGLIGENCE IN THE DESIGN, DEVELOPMENT, TESTING, DISTRIBUTION, MAINTENANCE, SUPPORT, OR FAILURE TO WARN REGARDING THE SOFTWARE.
This sentence does not waive liability for fraud, intentional misconduct, or any other liability that applicable law does not permit a party to waive.
The risk allocation in this Agreement is a material part of the basis on which the Software is made available at its price.
22. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIVIU AUTOMATION, LICENSOR, AND THEIR OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
This exclusion includes, without limitation:
- lost profits;
- lost revenue;
- loss of business;
- loss of opportunity;
- lost productivity;
- business interruption;
- missed deadlines;
- project delay;
- loss or corruption of Revit models;
- loss or corruption of other files;
- lost data;
- loss of goodwill;
- cost of replacement software;
- cost of replacement hardware;
- cost of data reconstruction;
- professional claims by clients or others;
- construction-related losses; or
- damages resulting from inability to use the Software.
This limitation applies whether the claim is based on contract, warranty, negligence, tort, strict liability, statute, restitution, or another theory, even if we were advised that the loss was possible.
22.1 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SOFTWARE, THIS AGREEMENT, OR RELATED SERVICES WILL NOT EXCEED THE GREATER OF:
(A) US$25; OR
(B) THE TOTAL AMOUNT ACTUALLY PAID FOR YOUR LIVIU AUTOMATION SUBSCRIPTION DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO THE CLAIM.
The existence of multiple claims does not increase this limit.
22.2 Essential Basis
The warranty disclaimers, assumption-of-risk provisions, and liability limitations in this Agreement form an essential basis of the bargain between you and us and apply even if a limited remedy fails of its essential purpose, to the extent permitted by law.
22.3 Non-Waivable Rights
Nothing in this Agreement limits liability that applicable law prohibits us from limiting.
Mandatory consumer rights remain unaffected.
23. Indemnification
23.1 All Users
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Licensor and its owners, employees, contractors, agents, affiliates, successors, and assigns from third-party claims, liabilities, damages, judgments, settlements, penalties, costs, and reasonable legal fees arising from:
- your unlawful use of the Software;
- use of pirated or unauthorized Autodesk software;
- your violation of Autodesk or other applicable third-party rights or terms;
- your violation of this Agreement;
- your unauthorized sharing or distribution of a license key;
- materials, add-ins, scripts, data, or software supplied by you;
- your infringement or misuse of another person's intellectual-property rights; or
- your intentional misuse of the Software.
23.2 Business and Professional Users
If you use the Software for a company, client, professional practice, commercial project, or other business purpose, then, to the maximum extent permitted by applicable law, you further agree to defend, indemnify, and hold the protected parties harmless against third-party claims arising from your professional or commercial reliance on the Software, including claims involving your models, drawings, project documents, project deadlines, design decisions, construction documents, or professional services.
This provision does not require indemnification to the extent prohibited by applicable law.
24. Add-Ins and User-Installed Software
We do not review, approve, certify, or warrant third-party Revit add-ins, scripts, plug-ins, extensions, or programs merely because they can be installed or executed through the Software.
An add-in can crash Revit, corrupt data, access files, transmit data, modify your system, or otherwise behave unexpectedly.
You install and use third-party add-ins entirely at your own risk and under their applicable terms.
25. Suspension and Termination
You may stop using the Software at any time.
You must separately cancel an active subscription if you want recurring charges to stop.
We may suspend or terminate a license or Full Mode access if we reasonably believe that:
- you materially violated this Agreement;
- a license key was stolen or improperly shared;
- payment was reversed or remains unpaid;
- fraud or abuse occurred;
- licensing systems were circumvented;
- continued access creates a material security risk;
- continued access may violate law or third-party rights; or
- suspension is reasonably necessary to protect the Software or its users.
Where reasonable and legally required, we will provide notice.
Termination of this Agreement does not terminate rights granted directly by an applicable open-source license.
26. Discontinuation of the Software
We may discontinue Liviu Automation, a subscription plan, a compatibility feature, or support for a particular Revit or macOS version.
If we permanently discontinue a paid subscription service, we will stop future subscription billing.
Where appropriate or required by law, we or the applicable merchant of record will refund any prepaid portion of a billing period during which paid access can no longer be provided.
WE ARE NOT OBLIGATED TO RELEASE A PERPETUAL, UNLOCKED, OFFLINE, OPEN-SOURCE, OR SUBSCRIPTION-FREE VERSION OF THE PROPRIETARY SOFTWARE IF LIVIU AUTOMATION IS DISCONTINUED.
We may choose to provide transition functionality, but we make no promise to do so.
27. Changes Caused by Third Parties
We have no control over whether Autodesk, Apple, Microsoft, Stripe, Wine, DXMT, CodeWeavers, or another third party:
- changes software;
- changes APIs;
- changes licensing systems;
- changes authentication;
- changes terms;
- discontinues software;
- blocks functionality;
- removes compatibility;
- introduces technical restrictions;
- changes pricing; or
- refuses support.
Such changes may cause Liviu Automation to stop functioning partially or completely.
To the maximum extent permitted by law, we are not liable for third-party acts, omissions, policies, services, restrictions, outages, or changes.
28. Changes to This Agreement
We may revise this Agreement for future versions of the Software or where changes are reasonably necessary because of legal, security, product, or operational changes.
Material changes may require you to affirmatively accept the revised Agreement before using a new version or continuing to use affected functionality.
A new Agreement will not retroactively remove accrued rights that applicable law does not permit us to remove.
The Agreement associated with the Software version you validly accepted governs that version unless applicable law requires otherwise.
29. Claims Deadline
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CLAIM ACCRUES, OR IT IS PERMANENTLY BARRED.
If applicable law does not permit contractual shortening of the relevant limitations period, the shortest legally permitted limitations period applies instead.
30. Informal Dispute Resolution
Before filing a lawsuit concerning this Agreement or the Software, you and Licensor agree, where legally permitted, to attempt in good faith to resolve the dispute informally for at least 30 days.
A dispute notice should identify:
- your name;
- contact information;
- the issue;
- the relevant transaction or license;
- the relief requested; and
- enough information for us to understand the dispute.
Notices may be sent to:
This section does not prevent either party from seeking emergency injunctive relief where necessary.
31. Governing Law and Venue
This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to mandatory consumer rights, any court proceeding arising from this Agreement or the Software must be brought in a state or federal court having jurisdiction in Montgomery County, Pennsylvania, and each party consents to personal jurisdiction and venue there.
If mandatory consumer-protection law gives you the right to bring a claim elsewhere, that right is preserved.
32. JURY TRIAL WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND LICENSOR KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO HAVE A DISPUTE ARISING FROM THIS AGREEMENT OR THE SOFTWARE DECIDED BY A JURY.
ANY SUCH DISPUTE WILL INSTEAD BE DECIDED BY A JUDGE, UNLESS APPLICABLE LAW REQUIRES OTHERWISE.
This provision is intended to be conspicuous and must be separately disclosed during the electronic acceptance process where applicable law requires such disclosure.
33. Individual Claims
To the maximum extent permitted by applicable law, you and Licensor agree to pursue claims against one another only in your or our individual capacities and not as a plaintiff or class member in a purported class, collective, consolidated, or representative proceeding.
If this restriction is unenforceable for a particular claim or remedy, it will be severed only to the minimum extent necessary.
34. Consumer Rights
Nothing in this Agreement is intended to deprive a consumer of a statutory right that cannot legally be waived or restricted.
If a mandatory law applicable to you conflicts with a provision of this Agreement, that mandatory law controls only to the extent of the conflict.
The remaining provisions remain effective.
35. Export and Legal Compliance
You are responsible for complying with laws applicable to your possession and use of the Software, including applicable export-control and sanctions laws where relevant.
You may not use or transfer the Software where doing so would violate applicable law.
36. Force Majeure
To the maximum extent permitted by law, we are not responsible for delay, interruption, or failure caused by circumstances beyond our reasonable control, including internet outages, cloud-service outages, third-party software changes, operating-system changes, authentication failures, government action, cyberattacks, natural disasters, labor disruptions, or failures of third-party infrastructure.
37. Assignment
You may not assign or transfer this Agreement or your proprietary Software license without our written consent except where applicable law requires otherwise.
We may assign this Agreement in connection with a sale, merger, restructuring, transfer of the Software business, or transfer to an affiliated entity.
38. Severability
If a court or other authority determines that part of this Agreement cannot be enforced, that provision will be enforced to the maximum extent legally permitted or severed to the minimum extent necessary.
The remaining Agreement will continue in effect.
39. Waiver
Failure to enforce a provision immediately does not waive our right to enforce that provision later.
A waiver concerning one event does not constitute a waiver concerning another event.
40. Entire Agreement
This Agreement, the applicable Privacy Policy, third-party notices, open-source license materials, and any additional purchase terms expressly incorporated into it constitute the agreement concerning your use of Liviu Automation.
If an open-source license conflicts with this Agreement concerning an open-source component, the open-source license controls for that component.
If the Agreement is translated into another language, the English version controls to the extent legally permitted if there is a conflict.
41. Survival
Sections concerning ownership, open-source rights, assumption of risk, warranty disclaimers, limitations of liability, indemnification, claims, dispute provisions, and provisions that by their nature should survive will remain effective after termination.
